Terms & Conditions

Mid-American CBD, a Mid-American-CBD, operates through offering various products online, to our customers.  These Terms & Conditions (“Terms”) apply to all of your activities engaged in with Mid-American-CBD (e.g., purchasing products, reviewing educational materials, receiving purchase rewards, etc.)

By agreeing to these Terms, you are agreeing to waive any and all jury trials and resolve any dispute with Mid-American-CBD through binding arbitration (see the Dispute Resolution section, below).

Your Account

    You may need to setup an account with Mid-American-CBD.  You have responsibility for your Mid-American-CBD account, and you must ensure that all the information you provide Mid-American-CBD with is accurate, including your e-mail address.  You should hold your username and password in strict confidence.  If someone other than you obtains and uses your login credentials, Mid-American-CBD reserves the right to disable your account, without providing you a refund.

    Acknowledgement Regarding Products Sold by Mid-American-CBD

      Mid-American-CBD sells certain CBD products that are derived from hemp to individuals above the age of 21.  It is Mid-American-CBD’s understanding that such products contain an amount of THC that is within the allowable limits prescribed by federal law and the laws of Mid-American-CBD’s primary place of business.  Mid-American-CBD does not and shall not guaranty or otherwise represent to you that its products are legal in your state or territory.  It is up to you, independently of any effort undertaken by Mid-American-CBD, to determine the legality of Mid-American-CBD’s products within your state or territory.

      In addition, you should consult with a physician before using any product sold by Mid-American-CBD.  A doctor’s advice should be considered before using any hemp product.  Any statements made by Mid-American-CBD have not been evaluated by the FDA, and any products sold by Mid-American-CBD are not intended to diagnose, treat, cure, or prevent any disease.

      Payment for Services/Products

        You agree to pay the fees for Mid-American-CBD’s Services/Products that you elect to purchase, and you authorize Mid-American-CBD to charge your debit or credit card or process other forms of payment for those fees.  Mid-American-CBD will not provide refunds, unless Mid-American-CBD determines, in its sole discretion, that a refund is warranted.

        Mid-American-CBD’s Rights

          All right, title, and interest in and to the Mid-American-CBD online presence and its Services, including its website, its existing or future applications, its mobile applications, and its databases are and will remain the exclusive property of Mid-American-CBD Online.  You cannot use the Mid-American-CBD Online name or any of the Mid-American-CBD Online trademarks, logos, domain names, marketing materials, educational materials, or other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding Mid-American-CBD Online or the Services is entirely voluntary and Mid-American-CBD Online is free to use such feedback, comments, or suggestions as it sees fit and without any obligation to you.

          In accessing Mid-American-CBD Online’s website or utilizing its materials and Services, you agree that you shall not copy, modify, create a derivative work of, reverse engineer, or reverse assemble Mid-American-CBD Online’s Services or materials.  In addition, you shall not use the Services to send altered, deceptive, or false source-identifying information (such as sending email communications falsely appearing as Mid-American-CBD Online) to others.

          Children & Individuals Under 21 Years of Age

            Mid-American-CBD does not knowingly sell products or provide Services/Products to children under the age of twenty-one.  If you are under the age of twenty-one, you must not use the Services/Products we provide. 

            Miscellaneous Terms

              You agree that by registering, accessing, or using Mid-American-CBD’s Services/Products, you are agreeing to enter into a legally binding contract with Mid-American-CBD that consists of these Terms and Mid-American-CBD’s Privacy Policy. If you do not agree to these Terms and Mid-American-CBD’s Privacy Policy, do not register, access, or otherwise use any of Mid-American-CBD’s Services/Products. 

              You also agree that these Terms represent the entire understanding between you and Mid-American-CBD, and they supersede all previous agreements, whether oral or written between you and Mid-American-CBD.  No change or modification of these Terms shall be valid unless the same be in writing and published by Mid-American-CBD on its website.  If any portion of these Terms is found to be invalid or unenforceable, it shall be severable from all other portions of these Terms.

              Neither the waiver by Mid-American-CBD of a breach of or a default under any of the provisions of these Terms, nor the failure by Mid-American-CBD, on one or more occasions, to enforce any of the provisions of these Terms or to exercise any right or privilege hereunder shall thereafter be construed as a waiver of any subsequent breach or default of a similar nature, or as a waiver of any provisions, rights, or privileges hereunder.

              Mid-American-CBD’s Services/Products are provided on an “as is” and “where is” basis.  Mid-American-CBD makes no representations or warranties about the suitability, reliability, availability, timeliness, or security of the Services/Products and expressly disclaims any warranties or conditions (express or implied), including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Mid-American-CBD makes no warranty that you will obtain specific results from use of the Services/Products. Your use of the Services/Products is entirely at your own risk.

              You also agree that Mid-American-CBD shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, profits, or business opportunities, or personal injury or death), whether arising in contract, warranty, tort, product liability, or otherwise, as a result of Mid-American-CBD’s Services/Products or your purchase or use of Mid-American-CBD’s products.  Mid-American-CBD’s liability to you or any third parties under any circumstance is limited to the total amount paid by you to Mid-American-CBD over the previous 12-month period before the event giving rise to your claim(s).

              You agree to indemnify, defend, and hold harmless Mid-American-CBD and its members, managers, suppliers, partners, and agents from an against any third-party claims, demands, losses, damages, or expenses (including reasonable attorney fees) arising from any actions taken by you that are intentional or negligent.  Your indemnification obligation will survive the termination of these Terms and your use of the Services/Products.  You also agree that no joint venture, partnership, employment, contractor, or agency relationship exists between you and Mid-American-CBD.

              Dispute Resolution and Class Action Waiver

                Your relationship with Mid-American-CBD and use of Mid-American-CBD’s Services/Products and materials shall be governed by the laws of the State of Illinois, and any disputes arising under these Terms shall be adjudicated in county where Mid-American LLC is headquartered at the time of such dispute.

                You agree that any controversy or claim arising out of or relating to these Terms or your relationship with Mid-American-CBD and use of Mid-American-CBD’s Services/Products shall be settled by arbitration administered by the American Arbitration Association in accordance with its Expedited Procedures of the Commercial Arbitration Rules.  

                THE PARTIES AGREE TO ARBITRATE ON AN INDIVIDUAL BASIS AND EACH WAIVES THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

                Governing Law
                These Terms of Service and any separate agreements whereby we provide you service shall be governed by and construed in accordance with the laws of the United States.

                Errors, Inaccuracies & Omissions

                Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).
                We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.

                Entire Agreement
                The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
                Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

                Updating these Terms

                  When Mid-American-CBD deems it appropriate, it may update these Terms to clarify its practices or to reflect new or different practices.  Mid-American-CBD reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If Mid-American-CBD makes any material change, it will notify you by posting a notice through its website.  Modifications will become effective on the day they are posted unless stated otherwise.

                  Your continued use of our Services/Products after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.
